These Terms of Service ("Terms") govern your access to and use of the website, billing software, POS platform, and related services offered by Venndixo POS ("we", "us", "our"). By accessing our website or using our Services, you agree to be bound by these Terms.

1. Definitions

  • "Services" means our cloud-based billing software, POS system, website, APIs, support, and related features.
  • "Customer" / "You" means the individual or business entity using our Services.
  • "Account" means your registered user account on the Venndixo POS platform.
  • "Subscription" means a paid or trial plan selected by you.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. If you register on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate, complete, and up-to-date registration information.
  • You are responsible for all activity under your Account, including actions by your staff members.
  • Notify us immediately at sales@venndixo.store if you suspect unauthorized access.

4. Description of Services

Venndixo POS provides cloud POS and billing software for retail shops and restaurants, including features such as GST billing, inventory management, kitchen KOT, QR table ordering, reports, and multi-branch support. We may add, modify, or discontinue features at our discretion with reasonable notice where possible.

5. Free Trial & Subscriptions

  • We may offer a free trial period as described on our website or sales communication.
  • After the trial, continued use requires a paid Subscription unless otherwise agreed in writing.
  • Subscription fees, billing cycles, and plan limits are as stated on our pricing page or invoice.
  • Failure to pay may result in suspension or termination of access to the Services.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorized access to our systems, other accounts, or third-party data
  • Reverse engineer, copy, resell, or sublicense the Services without written permission
  • Upload malware, spam, or content that infringes intellectual property or privacy rights
  • Interfere with the performance, security, or availability of the platform

7. Customer Data & Responsibilities

You retain ownership of business data, billing records, and content you enter into the platform ("Customer Data"). You are solely responsible for the accuracy, legality, and backup of Customer Data. You grant us a limited license to host, process, and display Customer Data solely to provide the Services.

You must comply with applicable tax laws (including GST regulations in India) when issuing invoices and maintaining records through our platform. Venndixo POS is a software provider and does not provide legal, tax, or accounting advice.

8. Intellectual Property

All rights, title, and interest in the Venndixo POS platform, website, software, logos, designs, and documentation remain our exclusive property or that of our licensors. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable license to use the Services during your Subscription.

9. Service Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, upgrades, internet outages, or third-party failures may cause temporary downtime. Support is provided as per your Subscription plan during business hours: Mon – Sat, 9:00 AM – 7:00 PM IST.

10. Third-Party Services

The Services may integrate with third-party tools such as payment gateways, printers, or messaging platforms. We are not responsible for third-party service failures, fees, or terms. Your use of third-party services is subject to their respective terms and policies.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet all your business requirements or be free from all errors.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Venndixo POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business interruption, or goodwill. Our total aggregate liability for any claim arising from these Terms or the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or INR 10,000, whichever is higher.

13. Indemnification

You agree to indemnify and hold harmless Venndixo POS, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of any third-party rights.

14. Suspension & Termination

We may suspend or terminate your Account if you breach these Terms, fail to pay fees, or use the Services unlawfully. You may cancel your Subscription as per your plan terms. Upon termination, your right to access the Services ceases. We may retain Customer Data for a reasonable period as required by law or backup policies, after which it may be deleted.

15. Refund Policy

Subscription fees are generally non-refundable except where required by applicable law or explicitly stated in a written agreement. Free trial users may cancel before the trial ends to avoid charges. For billing disputes, contact sales@venndixo.store within 7 days of the charge.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

17. Changes to Terms

We may revise these Terms at any time by posting the updated version on this page. Material changes will be communicated via email or in-app notice where appropriate. Continued use after changes constitutes acceptance of the revised Terms.
